These Terms & Conditions (“Terms”) govern your purchase and use of the Trades Booking & Retention System (the “Service”), provided by Wicko Design (“we”, “us”, “our”). By subscribing to or using the Service, you (“Client”, “you”, “your”) agree to be bound by these Terms.

1) Definitions

  • Service: The Trades Booking & Retention System, including access to the GoHighLevel (GHL) platform provisioned by us, plus configuration, templates, pipelines, automations, and support as described in your plan.

  • GHL / GoHighLevel: A third-party software platform used to deliver core features of the Service.

  • Subscription: Your recurring paid access to the Service.

  • Setup / Implementation: Onboarding, configuration, data migration, integrations, and other services agreed with you.

  • Messaging Services: SMS, WhatsApp, email sending, voice calls, and related communication features which may incur usage fees.

  • Customer Data: Personal data relating to your customers/leads (e.g., name, phone number, address area, job details) processed within the Service.

  • Third-Party Services: External services connected to the Service (e.g., Stripe, email/SMS providers, Google services, accounting software, website hosting/plugins).

2) What the Service Does

The Service is designed for trade and property service businesses (including builders, plumbers, electricians, decorators, and similar). It helps you manage:

  • Lead capture (forms, landing pages, chat, call capture where enabled)

  • CRM and pipelines (lead → quote → booked → completed → paid)

  • Booking and scheduling workflows

  • Automated confirmations, reminders, and follow-ups

  • Review requests and reputation workflows

  • Payments and invoicing links (via third-party payment processors)

  • Reporting dashboards (lead sources, response speed, conversion tracking)

Plan scope: Your included features, user limits, support level, and any add-ons are those shown at purchase or specified in a proposal/order form.

3) Standalone Use, Embeds, and Integrations

The Service can be used:

  1. as a standalone system (forms/pages and workflows hosted within the platform); and/or

  2. embedded into your existing website (contact forms, quote request forms, booking widgets, chat); and/or

  3. integrated with third-party tools (e.g., Google, accounting software, payment providers).

You acknowledge that third-party updates (plugins, themes, APIs, provider policies) may affect embedding and integrations, and we cannot guarantee uninterrupted third-party functionality.

4) Account Provisioning and Included GHL Licence

The GHL licence is included as part of your Subscription and is provisioned under our agency arrangement.

  • Access is provided for the duration of an active Subscription.

  • If your Subscription ends or is suspended for non-payment, access may be removed and workflows may be paused.

  • You must not resell, sub-licence, or provide platform access to third parties outside your business without written consent.

5) Ordering, Term, and Renewal

5.1 Ordering

Your Subscription begins when you complete purchase (or sign an order form) and we provision your account.

5.2 Term and renewal

Subscriptions renew automatically on a monthly or annual cycle (as selected), unless cancelled in accordance with Section 12.

6) Fees, VAT, and Payment

6.1 Fees

You agree to pay the Subscription fees for your selected plan, plus any setup fees and add-ons agreed.

6.2 VAT

VAT will be added where applicable in the UK. VAT No.: 384 7148 65.

6.3 Payment methods

Payment can be made via:

  • Stripe, or

  • Direct bank transfer (where agreed at the start of your Subscription).

6.4 Usage-based costs (Messaging Services)

Some features may incur usage charges (e.g., SMS, WhatsApp, voice minutes, email sending). These may be billed by third-party providers and/or passed through by us. You are responsible for all usage generated by your account, including usage triggered by automations you approve.

6.5 Late payments and suspension

If payment is overdue, we may suspend access, pause messaging, and/or disable automations until the account is brought up to date.

7) Setup, Onboarding, and Your Responsibilities

To deliver the Service, you agree to provide timely access and information such as:

  • website/admin access (where embeds are required)

  • domain/DNS access (if needed)

  • email sending domain access (if applicable)

  • Stripe or payment credentials (if applicable)

  • your services list, service areas, pricing approach, and booking rules

  • existing contact lists (where migration is requested)

Delays in providing inputs may delay launch.

8) Support and Change Requests

Support is provided in line with your plan. Unless stated otherwise:

  • Support covers configuration guidance and reasonable troubleshooting for the Service.

  • Support excludes custom software development, third-party plugin/theme fixes, and deep third-party debugging beyond reasonable checks.

Where your plan includes ongoing management, it is subject to fair use and scope. Significant new builds, large-volume changes, or new pipelines may be chargeable.

9) Client Compliance (Marketing, Privacy, and Consent)

You are responsible for compliance with laws and regulations relating to your marketing and customer communications, including:

  • UK GDPR and data protection rules

  • PECR rules for electronic marketing (email/SMS)

  • any local or sector-specific requirements

You must ensure you have the appropriate legal basis/consent to contact leads and customers via email/SMS/WhatsApp, and you must honour opt-outs. You are responsible for the content of your messages and offers.

10) Acceptable Use

You must not use the Service to:

  • send spam or unsolicited messages

  • harass, deceive, or mislead customers

  • distribute malware or attempt unauthorised access

  • break the law or infringe third-party rights

  • process data unlawfully

We may suspend accounts that breach this section.

11) Data Protection (Controller/Processor)

11.1 Roles

In most cases:

  • You are the Data Controller for your lead/customer data.

  • We are the Data Processor processing data on your instructions to provide the Service.

11.2 Security

We take reasonable technical and organisational measures to protect data within our control. You are responsible for secure passwords, staff access controls, and appropriate permissions.

11.3 Third-party processors

You acknowledge that third-party platforms (including GHL, messaging providers, payment providers) may process data under their own terms and policies.

11.4 DPA

A Data Processing Agreement can be provided on request.

12) Cancellation and Termination

12.1 Cancellation by you

You may cancel by written notice to [[email protected]].

To avoid being charged for the next billing period, cancellation must be received:

  • at least 7 days before the next billing date (monthly), or

  • at least 30 days before renewal (annual).

You remain responsible for fees due up to the end of the current billing period, plus any accrued usage charges.

12.2 Termination by us

We may suspend or terminate access for non-payment, unlawful use, or breach of these Terms. Where reasonable, we will provide notice and an opportunity to remedy.

12.3 Data export after termination

Upon request within 14 days of termination, we may provide a reasonable export of your data where technically feasible, subject to an admin fee.

13) Intellectual Property

  • We retain ownership of pre-existing templates, automation frameworks, and implementation methods.

  • You retain ownership of your brand assets and content you provide.

  • You are granted a non-exclusive, non-transferable licence to use the Service for your internal business operations during an active Subscription.

14) Confidentiality

Both parties agree to keep confidential information private and use it only to fulfil obligations under these Terms, unless disclosure is required by law.

15) Disclaimers

  • We do not guarantee specific outcomes (e.g., number of leads, job bookings, conversion rates).

  • Message deliverability depends on consent, content, sender reputation, and third-party policies.

  • Third-party outages and updates may affect parts of the Service.

16) Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential losses (lost profits, loss of goodwill, business interruption).

  • Our total liability in any 12-month period is limited to the Subscription fees you paid to us in that period (excluding third-party usage charges).

Nothing limits liability for death/personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

17) Indemnity

You agree to indemnify us against claims, losses, and expenses arising from:

  • your unlawful use of the Service,

  • your message content and marketing practices,

  • your breach of data protection or marketing laws,

  • your breach of these Terms.

18) Changes to the Service or Terms

We may update the Service and these Terms to reflect improvements, security updates, legal requirements, or platform changes. Where changes materially affect your use, we will provide reasonable notice.

19) Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control (including third-party platform outages, power failures, widespread internet issues).

Notices must be sent to:

21) Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

22) Entire Agreement

These Terms, together with any proposal/order form and (if applicable) DPA, form the entire agreement between you and us regarding the Service and supersede prior discussions.
